# Terms of Service — DRAFT, NOT LEGAL ADVICE

**Before you launch:** this is a structurally complete starting point covering the sections a SaaS product needs, written in plain language. It is not a substitute for review by a lawyer licensed in your state, especially given you're storing other businesses' client contact information and financial data. Budget for an actual legal review — a construction-focused or small-business attorney reviewing a SaaS ToS is typically a fixed, bounded cost, not an open-ended one.

## 1. Who this agreement is between

These Terms govern use of Scope Flow (the "Service"), operated by Adrian Brenner LLC ("we," "us"). By creating an account, you ("Customer," "you") agree to these Terms on behalf of yourself and the business you represent.

## 2. What the Service does

Scope Flow is a job-tracking tool for remodeling contractors: job records, tasks, client contacts, cost estimates, payment tracking, change orders, and AI-assisted drafting of client and subcontractor communications. You are responsible for reviewing anything AI-drafted before sending it — the Service assists your communication, it does not replace your judgment about what's accurate for a given job.

## 3. Your account and data

- You're responsible for keeping your login credentials secure and for all activity under your account.
- You own the data you enter (jobs, clients, costs, and so on). We don't sell it, and we don't use it to train AI models.
- You're responsible for having a lawful basis to store the personal information of your own clients and subcontractors that you enter into the Service.

## 4. Subscription and billing

- Plans and pricing are listed on our Pricing page and may change with notice.
- Subscriptions renew automatically each billing period until cancelled.
- You can cancel any time from your account; cancellation takes effect at the end of the current billing period. We do not offer refunds for partial billing periods.
- Free trial: 14 days free on either plan, no card required to start. If no payment method is added by the end of the trial, the subscription is automatically cancelled rather than converting to a paid plan.

## 5. Acceptable use

You won't use the Service to store or transmit unlawful content, attempt to breach its security, resell access without our agreement, or use it in a way that could disrupt service for other customers.

## 6. AI-generated content

Drafted emails, scope summaries, and similar AI output are suggestions based on the information you provide. We do not guarantee their accuracy, and you are solely responsible for reviewing and editing them before sending to any client, subcontractor, or third party. Never send AI-drafted content you have not personally reviewed.

## 7. Availability and support

We aim for reliable uptime but do not guarantee the Service will be uninterrupted or error-free. We do not currently offer a formal uptime SLA or service credits.

## 8. Limitation of liability

To the extent permitted by law, our total liability to you for any claim arising from the Service is limited to the amount you paid us in the twelve months before the claim arose. We are not liable for indirect, incidental, or consequential damages, including lost profits or lost business, arising from your use of the Service. ## 9. Termination

We may suspend or terminate an account for violation of these Terms, non-payment, or unlawful use. You may cancel at any time. On termination, you may export your data for 30 days before it is permanently deleted.

## 10. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated by email or in-app notice before they take effect.

## 11. Governing law

These Terms are governed by the laws of Illinois, without regard to conflict-of-law principles.
